1. THE PARTIES
1.1 These Terms of Business ("Terms") govern the provision of recruitment platform services, Applicant introduction services and associated recruitment support services by Careers Hub Limited, an Isle of Man registered company ("Careers Hub"), via its platform (“Platform”) and the organisation, company, partnership, sole trader or other entity using the Platform ("Company").
1.2 For the avoidance of doubt, references to the Company shall include any parent company, subsidiary company, associated company, group undertaking, affiliate, division or successor business which receives Applicant information directly or indirectly through the Company.
2. DEFINITIONS
2.1 In these Terms the following expressions shall have the meanings set out below:
"Applicant" means any individual whose profile, curriculum vitae, application, personal details, employment history, qualifications, skills, experience or contact information is made available to the Company through the Platform.
"Applicant Data" means all personal data relating to an Applicant, including profile information, CVs, application forms, qualifications, references, skills data, employment history, communications and any other information supplied through the Platform.
"Engagement" means:
(a) employment under a contract of employment;
(b) engagement under a consultancy agreement;
(c) engagement under a contract for services;
(d) appointment as a director;
(e) engagement through a personal service company;
(f) engagement through a limited company;
(g) engagement through a third-party intermediary;
(h) partnership arrangements;
(i) freelance arrangements; or
(j) any other arrangement under which services are provided to or for the benefit of the Company,
and "Engage", "Engaged" and "Engaging" shall be construed accordingly.
"Introduction" means:
(a) the viewing of an Applicant’s profile;
(b) receipt of an Applicant’s CV;
(c) receipt of an Applicant’s application;
(d) receipt of an Applicant’s contact details;
(e) communication between the Company and Applicant facilitated by Careers Hub;
(f) interview of a Applicant;
(g) submission of a Applicant by Careers Hub; or
(h) any other disclosure of Applicant information by Careers Hub,
which subsequently results in an Engagement.
"Job Match Score" means an automated score generated by Careers Hub by comparing information supplied by a Applicant against information contained within a vacancy advertisement or job specification.
"Platform" means the Careers Hub website, software, databases, applications, Applicant management systems, Company management systems and all associated technologies.
"Remuneration" means:
(a) annual basic salary;
(b) guaranteed bonuses;
(c) sign-on bonuses;
(d) retention bonuses;
(e) commission guarantees;
(f) car allowances;
(g) cash allowances;
(h) guaranteed share awards;
(i) guaranteed benefits with a financial value; and
(j) any other guaranteed payment or benefit forming part of the Applicant's remuneration package.
2.2 References to the singular shall include the plural and vice versa.
2.3 Headings are included for convenience only and shall not affect interpretation.
3. THE CONTRACT
3.1 These Terms constitute the entire agreement between Careers Hub and the Company concerning the provision of recruitment platform services.
3.2 These Terms shall be deemed accepted upon the earliest of:
(a) creation of a Company account;
(b) publication of a vacancy;
(c) access to Applicant information;
(d) receipt of Applicant details;
(e) communication with a Applicant through the Platform;
(f) use of any Careers Hub service.
3.3 No variation to these Terms shall be valid unless agreed in writing by a Director of Careers Hub.
3.4 Any terms submitted by the Company are expressly excluded unless agreed in writing by Careers Hub.
4. PLATFORM SERVICES
4.1 Careers Hub provides:
(a) vacancy advertising services;
(b) Applicant profile hosting;
(c) Applicant database access;
(d) application management tools;
(e) Company dashboard functionality;
(f) messaging facilities;
(g) Job Match Scores;
(h) AI-assisted matching tools; and
(i) associated recruitment support services.
4.2 Careers Hub acts solely as a recruitment platform and intermediary.
4.3 Careers Hub does not employ Applicants.
4.4 Careers Hub does not guarantee:
(a) the accuracy of Applicant information;
(b) Applicant suitability;
(c) successful recruitment outcomes;
(d) the availability of Applicants;
(e) uninterrupted Platform access.
5. VACANCY ADVERTISING
5.1 The Company warrants that all vacancies:
(a) are genuine vacancies;
(b) comply with applicable legislation;
(c) are non-discriminatory;
(d) accurately describe the role;
(e) contain accurate remuneration information where provided.
5.2 Careers Hub reserves the right to refuse, suspend or remove any vacancy advertisement at its absolute discretion.
5.3 The Company shall indemnify Careers Hub against any claims arising from inaccurate, unlawful or misleading vacancy advertisements.
6. INTRODUCTIONS
6.1 Applicant information supplied by Careers Hub is confidential and supplied solely for the purpose of identifying suitable Applicants for potential Engagement.
6.2 An Introduction shall be deemed to have occurred where the Company:
(a) views an Applicant profile;
(b) downloads or accesses an Applicant’s CV;
(c) receives an Applicant application;
(d) receives Applicant contact information;
(e) communicates with an Applicant through the Platform;
(f) interviews an Applicant; or
(g) receives Applicant information by any means originating from Careers Hub.
6.3 For the avoidance of doubt, an Introduction shall occur regardless of whether:
(a) the Applicant applied directly through the Platform;
(b) the Applicant was identified through a database search;
(c) the Applicant was matched using Job Match technology;
(d) Careers Hub personnel were involved in the Introduction process.
6.4 The Company acknowledges that access to Applicant information constitutes valuable recruitment services and may give rise to fee obligations under these Terms.
7. APPLICANT OWNERSHIP
7.1 Where an Applicant is Engaged within twelve (12) months of an Introduction, the Company shall pay the applicable fee specified in Clause 10.
7.2 The fee shall be payable irrespective of whether:
(a) the Applicant is Engaged for the original vacancy;
(b) the Applicant is Engaged for a different vacancy;
(c) the Applicant is Engaged on a permanent basis;
(d) the Applicant is Engaged on a fixed-term basis;
(e) the Applicant is Engaged as a consultant;
(f) the Applicant is Engaged through a third party;
(g) the Applicant is Engaged through a personal service company;
(h) the Applicant is Engaged through a limited company controlled by the Applicant.
7.3 Where the Company claims prior knowledge of an Applicant, the Company must notify Careers Hub in writing within five (5) business days of the Introduction and provide documentary evidence demonstrating previous contact within the preceding twelve (12) months.
7.4 Failure to provide such evidence within the required period shall result in the Introduction being deemed valid for the purposes of these Terms.
8. GROUP COMPANIES AND ASSOCIATED ENTITIES
8.1 Where Applicant information is shared with:
(a) a parent company;
(b) a subsidiary company;
(c) an associated company;
(d) a group undertaking;
(e) a joint venture;
(f) an affiliate; or
(g) any business connected to the Company,
and such entity subsequently Engages the Applicant within twelve (12) months of the Introduction; the Company shall remain liable for payment of the applicable fee.
8.2 The Company shall be responsible for ensuring compliance with these Terms by any associated entity receiving Applicant information.
9. THIRD-PARTY INTRODUCTIONS
9.1 Introductions are confidential.
9.2 The Company shall not disclose Applicant information to any third party without the prior written consent of Careers Hub.
9.3 Where Applicant information is disclosed to a third party and that third party Engages the Applicant within twelve (12) months of the Introduction, the Company shall be liable for the full fee as if the Engagement had occurred directly with the Company.
9.4 Neither the Company nor the third party shall be entitled to avoid payment by structuring the Engagement through an intermediary.
10. FEES
10.1 A placement fee shall become payable immediately upon a Applicant accepting an offer of Engagement.
10.2 The standard placement fee shall be:
- ten percent (10%) of the Applicant's gross annual basic salary; plus
- five percent (5%) of all “Additional Remuneration”.
10.3 Additional Remuneration shall include:
(a) guaranteed bonuses;
(b) sign-on bonuses;
(c) retention bonuses;
(d) guaranteed commissions;
(e) car allowances;
(f) guaranteed share awards;
(g) guaranteed housing allowances;
(h) guaranteed cash payments;
(i) any other guaranteed financial benefit.
10.4 VAT shall be payable in addition to all fees where applicable.
10.5 Where the actual Remuneration is unknown, Careers Hub may calculate fees based upon:
- market rates;
- publicly available salary information;
- information provided by the Applicant;
- information available to Careers Hub.
10.6 Careers Hub's reasonable determination shall be binding unless the Company provides satisfactory evidence to the contrary.
11. FIXED TERM ENGAGEMENTS
11.1 Where an Applicant is Engaged for a fixed-term period of less than twelve (12) months, the fee shall be calculated on the total value of the contract.
11.2 If the Engagement is subsequently extended or renewed, Careers Hub shall be entitled to charge an additional fee based upon the additional Remuneration payable.
11.3 Total fees payable shall not exceed the amount that would have been payable had the Applicant initially been Engaged for a full twelve-month period.
12. OFFERS, APPOINTMENTS AND NOTIFICATION
12.1 All offers of employment or engagement made to an Applicant introduced through the Platform must be issued through the Careers Hub Platform using the offer management functionality provided by Careers Hub.
12.2 The Company shall upload to the Platform the proposed offer letter, contract of employment, engagement agreement or other appointment documentation prior to the offer being communicated to the Applicant.
12.3 The Company shall ensure that all offer documentation accurately sets out the full remuneration package, including:
(a) basic salary;
(b) guaranteed bonuses;
(c) sign-on payments;
(d) retention payments;
(e) guaranteed commission arrangements;
(f) car allowances; and
(g) any other guaranteed financial benefits.
12.4 An Applicant's acceptance of an offer through the Platform shall constitute notification to Careers Hub that an Engagement has been agreed and shall trigger the Company's liability for any fees payable under these Terms.
12.5 The Company shall not make, communicate or facilitate any offer to an Applicant outside the Platform where that Applicant was introduced through the Platform without the prior written consent of Careers Hub.
12.6 Failure to issue an offer through the Platform, failure to upload the required documentation, or any attempt to circumvent the Platform's offer process shall constitute a material breach of these Terms and shall not affect the Company's liability to pay any fees due under these Terms.
13. INVOICING
13.1 Careers Hub will issue an invoice immediately following acceptance of an offer of Engagement.
13.2 The Company agrees that fees become due upon acceptance of an offer and are not contingent upon completion of any probationary period.
13.3 Electronic invoices shall constitute valid invoices for all purposes.
14. PAYMENT TERMS
14.1 All invoices shall be payable within seven (7) days of the invoice date.
14.2 The Company shall make payment without deduction, withholding, set off or counterclaim.
14.3 Careers Hub reserves the right to charge interest on overdue amounts at the rate of eight percent (8%) above the Bank of England base rate from time to time.
14.4 The Company shall reimburse Careers Hub for all reasonable legal costs, debt recovery costs and collection expenses incurred in recovering unpaid amounts.
14.5 Careers Hub reserves the right to suspend access to the Platform where any invoice remains unpaid beyond the due date.
15. EXCLUSIVITY
15.1 In consideration of Careers Hub advertising and promoting a vacancy on behalf of the Company , the Company agrees that Careers Hub shall act as the Company’s exclusive recruitment partner in respect of that vacancy for a period of fifteen (15) calendar days from the date the vacancy is first published on the Platform ("Exclusivity Period").
15.2 During the Exclusivity Period the Company shall not:
- instruct another recruitment agency to recruit for the same vacancy;
- authorise a third party to recruit for the same vacancy;
- transfer the vacancy to another recruitment business for the purpose of avoiding fees payable under these Terms.
15.3 Nothing in this clause shall prevent the Company from:
- receiving direct applications through its own website;
- receiving applications through existing internal talent pools;
- appointing internal employees to the vacancy.
15.4 Where the Company breaches this clause and subsequently Engages an Applicant introduced through Careers Hub, Careers Hub shall remain entitled to the applicable fee.
15.5 The parties acknowledge that the Exclusivity Period is intended to protect Careers Hub's investment in advertising, promoting and sourcing Applicants.
16. REFUNDS
16.1 Subject to Clauses 16.2 to 16.9, Careers Hub shall provide a refund equal to fifty percent (50%) of the placement fee where:
- the Applicant commences employment; and
- the Engagement terminates within thirty (30) calendar days of commencement.
16.2 No refund shall apply where:
- the Company fails to pay invoices within the agreed payment terms;
- the Applicant is made redundant;
- the role materially changes following acceptance of the offer;
- the Company restructures the role or reporting arrangements;
- the Company relocates the role after acceptance of the offer;
- the Company breaches employment legislation;
- the Company dismisses the Applicant for gross misconduct;
- the Applicant transfers to an associated company within the Company’s group;
- the Company fails to notify Careers Hub within seven (7) days of termination.
16.3 No refund shall be payable after the expiry of thirty (30) calendar days from commencement of employment.
16.4 The refund provisions contained within this clause represent the Company’s sole remedy in relation to the termination of an Applicant's employment.
16.5 Careers Hub shall not be obliged to provide a replacement Applicant.
16.6 Any refund shall only become payable after the Company has settled all outstanding invoices in full.
16.7 Careers Hub reserves the right to offset any refund against outstanding sums owed by the Company.
16.8 Where a refunded Applicant is subsequently re-engaged within twelve (12) months of termination, the refunded amount shall immediately become repayable to Careers Hub.
16.9 Refunds shall be processed within thirty (30) days of validation of the claim.
17. SUITABILITY CHECKS
17.1 Careers Hub shall take reasonable steps to obtain information from Applicants regarding:
(a) employment history;
(b) qualifications;
(c) skills and experience;
(d) professional memberships;
(e) right to work status.
17.2 The Company acknowledges that Careers Hub relies upon information supplied by Applicants and cannot guarantee the accuracy or completeness of such information.
17.3 The Company shall be solely responsible for satisfying itself as to the suitability of any Applicant.
17.4 Without limitation, the Company shall be responsible for:
(a) obtaining references;
(b) verifying qualifications;
(c) verifying professional registrations;
(d) conducting right to work checks;
(e) conducting DBS or criminal record checks;
(f) conducting medical assessments where required;
(g) satisfying itself regarding regulatory requirements.
17.5 Careers Hub shall not be liable for any loss arising from inaccurate information supplied by an Applicant.
18. COMPANY RESPONSIBILITIES
18.1 The Company shall:
(a) comply with all applicable employment legislation;
(b) comply with all applicable equality legislation;
(c) provide a safe working environment;
(d) comply with all applicable health and safety obligations;
(e) provide accurate information regarding vacancies;
(f) treat Applicants fairly and professionally.
18.2 The Company shall not:
(a) discriminate unlawfully against any Applicant;
(b) harass or victimise any Applicant;
(c) misuse Applicant information;
(d) use Applicant information for marketing purposes;
(e) sell or transfer Applicant information.
18.3 The Company shall ensure that all recruitment decisions are made lawfully and objectively.
19. EQUALITY, DIVERSITY AND NON-DISCRIMINATION
19.1 The Company acknowledges its obligations under applicable equality and anti-discrimination legislation.
19.2 The Company shall ensure that recruitment decisions are based upon legitimate business criteria.
19.3 Careers Hub reserves the right to remove vacancies which appear discriminatory, unlawful or inconsistent with applicable legislation.
19.4 The Company shall indemnify Careers Hub against claims arising from discriminatory recruitment practices undertaken by the Company.
20. JOB MATCH SCORES
20.1 Careers Hub may provide Job Match Scores in relation to vacancies and Applicants.
20.2 Job Match Scores are generated automatically using information supplied by Applicants and information contained within vacancy advertisements.
20.3 Job Match Scores may take into account:
(a) job titles;
(b) skills;
(c) qualifications;
(d) experience;
(e) location preferences;
(f) employment preferences;
(g) keywords;
(h) CV content;
(i) application content.
20.4 Job Match Scores are provided solely as an informational tool.
20.5 Job Match Scores:
(a) do not constitute recruitment advice;
(b) do not constitute suitability assessments;
(c) do not constitute recommendations;
(d) do not guarantee success in employment;
(e) do not guarantee interview performance.
20.6 Careers Hub accepts no liability for decisions made by Company s based upon Job Match Scores.
21. AI-ASSISTED MATCHING
21.1 The Company acknowledges that Careers Hub utilises automated technologies and artificial intelligence tools to assist with Applicant matching.
21.2 Such technologies are intended solely to assist Company s in identifying potentially relevant Applicants.
21.3 Careers Hub does not make automated hiring decisions.
21.4 Careers Hub does not automatically reject Applicants on behalf of Company s.
21.5 Final recruitment decisions remain solely the responsibility of the Company.
21.6 The Company shall not rely exclusively upon automated scores, rankings or recommendations when making recruitment decisions.
21.7 Careers Hub reserves the right to modify, suspend or improve its matching algorithms at any time without notice.
21.8 No warranty is provided regarding the accuracy, completeness or effectiveness of any AI-assisted matching functionality.

22. DATA PROTECTION
22.1 Each party shall comply with all applicable data protection legislation including:
(a) the Isle of Man Data Protection Act 2018 where applicable;
(b) UK GDPR principles where applicable;
(c) any legislation replacing, amending or supplementing the foregoing.
22.2 For the purposes of Applicant Data made available through the Platform, the Company acknowledges Careers Hub acts as an independent Data Controller in relation to personal data processed through the Platform. The Company receiving Applicant information through the Platform shall act as separate and independent Data Controllers in respect of any personal data processed for recruitment and employment purposes.
22.3 The Company shall process Applicant Data solely for legitimate recruitment purposes.
22.4 The Company shall not:
(a) use Applicant Data for marketing purposes;
(b) sell Applicant Data;
(c) disclose Applicant Data to unauthorised third parties;
(d) retain Applicant Data longer than reasonably necessary.
22.5 The Company shall implement appropriate technical and organisational security measures to protect Applicant Data.
22.6 The Company shall notify Careers Hub without undue delay upon becoming aware of any actual or suspected personal data breach affecting Applicant Data obtained through the Platform.
22.7 Careers Hub reserves the right to suspend access to Applicant information where it reasonably believes data protection obligations have been breached.
22.8 The Company shall indemnify Careers Hub against any claims, fines, penalties, investigations or losses arising from the Company’s breach of applicable data protection legislation.
23. CONFIDENTIALITY
23.1 All Applicant information supplied through the Platform shall be treated as confidential.
23.2 All commercial, technical and business information relating to Careers Hub shall be treated as confidential.
23.3 The Company shall:
(a) restrict access to authorised personnel only;
(b) implement appropriate security controls;
(c) prevent unauthorised copying or disclosure;
(d) ensure confidentiality obligations are observed by employees, contractors and agents.
23.4 The obligations contained within this clause shall survive termination of these Terms.
23.5 Information shall not be regarded as confidential where it:
(a) is already in the public domain;
(b) becomes publicly available through no fault of the receiving party;
(c) must be disclosed pursuant to law, court order or regulatory requirement.
24. INTELLECTUAL PROPERTY
24.1 All intellectual property rights relating to the Platform shall remain vested in Careers Hub.
24.2 Intellectual property includes:
(a) software;
(b) databases;
(c) source code;
(d) trademarks;
(e) branding;
(f) logos;
(g) content;
(h) algorithms;
(i) Job Match technology;
(j) AI-assisted matching technology.
24.3 The Company shall not:
(a) copy the Platform;
(b) reverse engineer the Platform;
(c) create derivative works;
(d) remove proprietary notices;
(e) reproduce Applicant databases.
24.4 The Company is granted a limited, non-exclusive, non-transferable licence to use the Platform solely for legitimate recruitment purposes.
25. WARRANTIES
25.1 Careers Hub warrants that it shall use reasonable skill and care in providing its services.
25.2 Except as expressly stated in these Terms, all warranties, conditions and representations are excluded to the fullest extent permitted by law.
25.3 Careers Hub does not warrant:
- uninterrupted Platform availability;
- Applicant suitability;
- Applicant performance;
- Applicant accuracy;
- successful recruitment outcomes;
- uninterrupted access to AI-assisted services.
25.4 The Company acknowledges that recruitment outcomes depend upon factors outside Careers Hub's control.
26. LIMITATION OF LIABILITY
26.1 Nothing in these Terms shall exclude liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation;
(c) any liability which cannot lawfully be excluded.
26.2 Subject to Clause 26.1, Careers Hub shall not be liable for:
(a) loss of profit;
(b) loss of business;
(c) loss of revenue;
(d) loss of opportunity;
(e) loss of anticipated savings;
(f) reputational damage;
(g) indirect losses;
(h) consequential losses.
26.3 Careers Hub shall not be liable for:
(a) hiring decisions;
(b) employment disputes;
(c) Applicant conduct;
(d) Applicant job performance;
(e) inaccurate information supplied by Applicants.
26.4 Careers Hub's aggregate liability arising under or in connection with these Terms shall not exceed the total fees paid by the Company during the twelve (12) months preceding the event giving rise to the claim.
27. INDEMNITY
27.1 The Company shall indemnify and keep indemnified Careers Hub against all losses, claims, liabilities, damages, penalties, costs and expenses arising from:
(a) breach of these Terms;
(b) misuse of Applicant information;
(c) breach of data protection legislation;
(d) unlawful recruitment practices;
(e) discrimination claims;
(f) employment-related claims;
(g) regulatory investigations arising from the Company’s actions.
27.2 This indemnity shall survive termination of these Terms.
28. SUSPENSION
28.1 Careers Hub may immediately suspend access to the Platform where:
(a) fees remain unpaid;
(b) these Terms are breached;
(c) unlawful activity is suspected;
(d) Applicant information is misused;
(e) data protection concerns arise.
28.2 Suspension shall not affect Careers Hub's right to recover outstanding fees.
29. TERMINATION
29.1 Either party may terminate these Terms by providing thirty (30) days written notice.
29.2 Careers Hub may terminate immediately where:
- the Company commits a material breach;
- insolvency occurs;
- unlawful activity is suspected;
- Applicant information is misused.
29.3 Termination shall not affect:
accrued rights;
(b) outstanding fees;
(c) confidentiality obligations;
(d) indemnities;
(e) data protection obligations.
30. FORCE MAJEURE
30.1 Neither party shall be liable for delay or failure resulting from events beyond its reasonable control including:
- acts of God;
- war;
- terrorism;
- cyber-attacks;
- internet failures;
- industrial disputes;
- governmental action.
31. NOTICES
31.1 Notices shall be in writing and may be delivered:
(a) by email;
(b) by recorded delivery post;
(c) by courier.
31.3 Notices shall be deemed received:
(a) if delivered by hand, upon delivery;
(b) if sent by email, upon transmission;
(c) if posted, forty-eight (48) hours after posting.
32. SEVERABILITY
32.1 If any provision of these Terms is determined to be unenforceable, such provision shall be severed and the remaining provisions shall continue in full force and effect.
33. WAIVER
33.1 Failure by either party to enforce any provision shall not constitute a waiver of that provision.
34. ENTIRE AGREEMENT
34.1 These Terms constitute the entire agreement between the parties.
34.2 The Company acknowledges that it has not relied upon any representation not expressly contained within these Terms.
35. ASSIGNMENT
35.1 Careers Hub may assign, transfer or subcontract its rights and obligations.
35.2 The Company may not assign its rights or obligations without Careers Hub's prior written consent.
36. GOVERNING LAW AND JURISDICTION
36.1 These Terms shall be governed by and construed in accordance with the laws of the Isle of Man.
36.2 The parties irrevocably submit to the exclusive jurisdiction of the Courts of the Isle of Man.
37. ACCEPTANCE OF TERMS
37.1 These Terms shall be deemed accepted by the Company upon the earliest occurrence of any of the following:
(a) creation of a Company account on the Platform;
(b) acceptance of these Terms during the registration process;
(c) publication of a vacancy on the Platform;
(d) access to Applicant information;
(e) receipt of Applicant applications;
(f) communication with Applicants through the Platform;
(g) use of any Careers Hub service.
37.2 The individual completing registration on behalf of the Company warrants that they have the authority to bind the Company to these Terms.
37.3 The Company acknowledges that electronic acceptance of these Terms constitutes legally binding acceptance and shall have the same force and effect as a handwritten signature.
37.4 Careers Hub shall be deemed to have accepted these Terms upon activation of the Company’s account and continued provision of access to the Platform.
37.5 Careers Hub reserves the right to amend these Terms from time to time. Updated versions shall be published on the Platform and shall become effective upon publication or such later date as specified.
37.6 Continued use of the Platform following publication of revised Terms shall constitute acceptance of the revised Terms.
ELECTRONIC ACCEPTANCE
These Terms of Business are accepted electronically by the Company during the registration
process and become legally binding in accordance with Clause 37.
No further signature shall be required by either party.
SCHEDULE 1 – FEE EXAMPLES

Annual Salary: £50,000
Placement Fee 10% of Salary = £5,000

Annual Salary: £80,000
Guaranteed Bonus: £20,000
Placement Fee 10% of Salary = £8,000
